Fees for services will be set forth in the applicable service agreement or statement of work. Unless otherwise specified, invoices are due within thirty (30) days of receipt. Late payments may incur additional charges at the rate permitted by applicable law.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. Confidential information includes but is not limited to trade secrets, business processes, technical specifications, and client data. This obligation survives the termination of our business relationship.
To the maximum extent permitted by law, WXLI TECH LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our Site or services. Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.
Our Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Either party may terminate a service engagement in accordance with the terms of the applicable service agreement. We reserve the right to suspend or terminate your access to the Site for violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Pinellas County, Florida.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of the Site or services after changes constitutes acceptance of the updated Terms.
